Crucible — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the agency you represent ("Customer", "you") and Bear Tech LLC, a Pennsylvania limited liability company, which operates the Crucible service at crucible-crm.com ("Crucible", "we", "us"). By creating an account, clicking "I agree", or using the Service, you accept these Terms, the Privacy Policy, and the Acceptable Use Policy, which are incorporated by reference. If you do not agree, do not use the Service.
If you accept these Terms on behalf of an agency, you represent that you are authorized to bind that agency, and "you" refers to that agency.
1. The Service
Crucible is a recruiting system of record: a hosted platform for storing, organizing, de-duplicating, matching, and reporting on recruiting data (candidates, contacts, companies, job orders, and related activity). Features and availability may change during the beta.
2. Beta status
The Service is currently offered as a beta (an early, evolving release). You acknowledge that:
- The Service is provided "as is" and "as available", may contain defects, and may change, be interrupted, or be discontinued at any time.
- We provide no service-level or uptime commitment during the beta.
- We may modify, suspend, reset, or delete beta data, environments, or accounts, with reasonable notice where practicable. You are responsible for keeping your own backups of anything you cannot afford to lose. Crucible provides a data export feature; use it.
- The beta is currently provided free of charge. Paid subscriptions, when offered, are governed by the separate Billing & Subscription Agreement, and we will give you advance notice before any charges begin.
3. Accounts, roles, and security
- You must be at least 18 and provide accurate registration information.
- Accounts belong to an agency ("firm"). The first user to provision a firm is the Account Owner, who has administrative authority including inviting and removing members, managing billing, and managing firm-wide settings. Members have access as configured by the Owner.
- You are responsible for all activity under your credentials. Keep them confidential and notify us promptly at support@crucible-crm.com of any unauthorized use.
4. Customer Data and ownership
- "Customer Data" means all data you or your users submit to the Service, including personal data about candidates and contacts.
- You own your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create derived and de-duplicated records from Customer Data solely to provide and improve the Service to you and as described in the Privacy Policy.
- Where Customer Data includes personal data, you are the data controller and Crucible is the data processor. That relationship is governed by the Data Processing Agreement.
- You are responsible for the lawfulness of your Customer Data. You represent that you have the necessary rights, lawful bases, notices, and where required consents to collect the data and to have us process it, and that your use of the Service complies with all laws applicable to you, including employment, anti-discrimination, privacy, and anti-spam laws.
5. Acceptable use
Your use is subject to the Acceptable Use Policy. In summary, you must not upload data you have no right to process, use the Service unlawfully or to discriminate unlawfully, probe or attack the Service, resell access, or, for the duration of the beta, upload personal data about individuals in the EU, UK, or EEA. We may suspend accounts that violate the AUP.
6. AI features
The Service uses AI models to structure notes, generate documents (such as résumés), and summarize data. AI output may be inaccurate or incomplete. Output is presented as facts (traceable to your data) or as clearly labeled inferences; you are responsible for reviewing and verifying any AI output before relying on it, especially before submitting a candidate or making an employment decision. AI processing is performed through providers listed in our Subprocessors.
7. Our responsibilities
We will (a) maintain administrative, technical, and organizational security measures designed to protect Customer Data, as described in the DPA and Privacy Policy, including per-firm logical isolation and encryption of sensitive data at rest and in transit; (b) treat Customer Data as confidential; and (c) not sell Customer Data or use it to build a competing candidate marketplace.
8. Intellectual property
We and our licensors own the Service, including all software, models, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the term. We own all rights in aggregated, de-identified data and in service analytics that do not identify you, your users, or any individual. Nothing here transfers ownership of your Customer Data to us.
9. Feedback
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
10. Fees
The beta is free. If and when paid plans are introduced, fees, billing cadence, and the database-size-based pricing model are set out in the Billing & Subscription Agreement, which the Account Owner must accept separately before any charge. We will not charge you without prior notice and your acceptance of that agreement.
11. Term and termination
- These Terms apply while you use the Service.
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access for breach of these Terms or the AUP, for legal or security reasons, or on reasonable notice at the end of the beta.
- On termination, your right to use the Service ends. You may export your Customer Data before termination. After a wind-down period described in the Privacy Policy and DPA, we will delete or de-identify Customer Data, except where retention is required by law or preserved in immutable audit logs in de-identified form.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE THE BETA IS FREE, YOU ACKNOWLEDGE THIS CAP MAY BE US$100. THESE LIMITS DO NOT APPLY TO A PARTY'S LIABILITY FOR ITS OWN GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR AMOUNTS OWED UNDER SECTION 14.
14. Indemnification
You will defend, indemnify, and hold us harmless from any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your Customer Data, including any claim that its collection, upload, or processing was unlawful or infringed a person's rights; (b) your use of the Service in violation of these Terms, the AUP, or law; or (c) an employment or recruiting decision you made. This reflects that you, not Crucible, control what data enters the Service and how recruiting decisions are made.
15. Changes to these Terms
We may update these Terms. For material changes, we will provide notice (for example, by email or in-app) and, where acceptance is required, re-prompt you. Continued use after changes take effect constitutes acceptance. Prior accepted versions are retained in our records.
16. Governing law and disputes
These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Pennsylvania, and each party consents to that jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. General
These Terms, together with the Privacy Policy, AUP, DPA, and (if accepted) the Billing & Subscription Agreement, are the entire agreement between us on this subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
