Crucible — Billing & Subscription Agreement

Free during beta. This Agreement exists so paid billing is ready, but no charges apply during the beta. Crucible will give the Account Owner advance notice and require acceptance of the then-current pricing before any charge.

This Billing & Subscription Agreement ("Billing Agreement") governs paid use of Crucible. It supplements the Terms of Service and is accepted only by the Account Owner, on behalf of the agency, when the agency activates a paid plan. It is separate from the Terms that all users accept at signup. Capitalized terms not defined here have the meaning given in the Terms.

1. Who can manage billing

Only the Account Owner may view or manage billing, subscription plans, and payment details, through the owner administration area. Other users cannot access billing. The Account Owner represents that they are authorized to incur charges on behalf of the agency.

2. Pricing model — billed on canonical database size

Crucible bills on the size of your canonical database: the count of clean, unique, de-duplicated records (such as person and company records) that Crucible maintains for your firm, measured on a recurring basis. This reflects the core value of Crucible: a clean, canonical data layer.

  • A billable record is a distinct, non-deleted canonical entity in your firm's data. Merged duplicates collapse into one billable record; de-duplication reduces, not increases, what you are billed for.
  • Specific tiers, per-record rates, included allowances, and the measurement date will be presented in the plan you select at activation and are incorporated into this Billing Agreement by reference.
  • Because pricing is usage-based, your charge may change between periods as your canonical database grows or shrinks. Crucible provides a current record count in the owner administration area.

3. Fees, billing cycle, and payment

  • Fees are stated in the selected plan and billed in advance on a recurring basis (for example, monthly), with usage-based components trued up as described in the plan.
  • Payment is by the method the Account Owner provides. Card and payment data are handled by our payment processor (see Subprocessors); Crucible does not store full payment card numbers.
  • Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.
  • All amounts are in U.S. dollars unless stated otherwise.

4. Free beta and transition to paid

The Service is free during the beta. Crucible will provide at least 30 days' notice before introducing charges for your firm and will require the Account Owner to review and accept the applicable pricing before the first charge. If the Owner does not accept, the firm may continue on any free tier then offered or export its data and close the account without charge.

5. Plan changes

You may upgrade, downgrade, or change plans through the owner administration area. Upgrades take effect immediately with prorated charges where applicable; downgrades take effect at the next billing period. Usage-based charges continue to reflect actual canonical database size.

6. Non-payment and suspension

If a charge fails or an invoice is overdue, Crucible may notify the Account Owner and, after a reasonable cure period, suspend paid features or the account. Suspension does not delete your data; you may still export it during any suspension and wind-down period. Persistent non-payment may result in termination under the Terms.

7. Refunds and cancellation

  • You may cancel at any time through the owner administration area; cancellation stops future renewals.
  • Except where required by law, fees already paid are non-refundable, and no refunds or credits are given for partial periods. Beta usage is free and carries no refund.

8. Price changes

Crucible may change pricing on at least 30 days' notice to the Account Owner. Changes apply at the start of the next billing period after the notice. Continued paid use after the change takes effect constitutes acceptance; if you do not accept, you may cancel before the change takes effect.

9. Relationship to other agreements

This Billing Agreement is subject to the Terms of Service, the Privacy Policy, and the Data Processing Agreement. The liability limits in the Terms apply. If there is a conflict specifically about fees or billing, this Billing Agreement governs.
